Terms of Service
Loopbase Pte. Ltd. | Effective Date: 14 May 2026
These Terms of Service ("Terms") govern your access to and use of the Loopbase platform (the "Platform"), operated by Loopbase Pte. Ltd., a company incorporated in Singapore ("Loopbase", "we", "us", or "our"). By registering for, accessing, or using the Platform, you ("User", "you", or "your") agree to be legally bound by these Terms. If you do not agree, you must not access or use the Platform.
These Terms constitute a binding legal agreement between you and Loopbase Pte. Ltd. If you are entering into these Terms on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
1. Definitions
"Platform" means the Loopbase software-as-a-service product, including all features, dashboards, APIs, and related services provided by Loopbase Pte. Ltd.
"Account" means a registered user account on the Platform.
"Customer Data" means data about your end-customers that you input into, upload to, or generate through the Platform, including contact information, transaction history, and loyalty activity.
"Subscription" means a paid or trial plan granting access to the Platform.
"Content" means any text, data, information, campaigns, or materials you create, upload, or transmit through the Platform.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.
The Platform is intended for business use. By registering an account, you represent that you are using the Platform for commercial, business, or professional purposes and not for personal, household, or consumer purposes.
3. Account Registration and Responsibility
To access the Platform, you must create an Account by providing accurate, complete, and current information. You agree to keep this information updated at all times.
You are solely responsible for:
Maintaining the confidentiality and security of your login credentials
All activities that occur under your Account
Any content submitted, uploaded, or transmitted through your Account
Ensuring that all users accessing your Account comply with these Terms
You agree to notify us immediately at support@loopbaseapp.com of any unauthorised access to or use of your Account or any other security breach. Loopbase will not be liable for any loss or damage arising from your failure to maintain account security.
You may not share your Account credentials with third parties or create Accounts on behalf of others without their consent.
4. Subscriptions, Free Trials, and Billing
4.1 Subscription Plans
Access to the Platform is provided on a subscription basis. Available plans and pricing are as set out on the Loopbase website at the time of purchase and are subject to change with reasonable notice.
4.2 Free Trial
Loopbase may offer a 7-day free trial for the Starter plan (SGD 49/month) for new users. The free trial is available to first-time users only. You may not create multiple accounts to circumvent the free trial limitation.
At the end of the 7-day trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial period expires. By starting a free trial, you authorise Loopbase to charge your payment method upon expiry of the trial period.
Loopbase reserves the right to modify or discontinue the free trial offer at any time without notice.
4.3 Billing and Payment
Subscriptions are billed in advance on a monthly basis. All fees are quoted in Singapore Dollars (SGD) unless otherwise stated. Payment is processed through our third-party payment processor, Stripe. By providing payment details, you authorise Loopbase to charge the applicable subscription fees on a recurring basis.
You are responsible for all applicable taxes, levies, or duties associated with your use of the Platform. Loopbase may add applicable taxes to your invoice in accordance with applicable law.
4.4 Failed Payments
If a payment fails, Loopbase will notify you and may suspend access to your Account until payment is successfully processed. Loopbase reserves the right to terminate your Account if payment remains outstanding for more than 14 days following the due date.
4.5 Cancellation
You may cancel your subscription at any time through your Account settings or by contacting support@loopbaseapp.com. Cancellation takes effect at the end of the current billing period. No refunds will be issued for unused portions of a paid subscription period, except where required by applicable law.
4.6 Refunds
All fees paid are non-refundable except where expressly stated otherwise or required by applicable Singapore consumer protection law. Loopbase may in its sole discretion issue refunds or credits on a case-by-case basis.
5. Acceptable Use
You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations, including but not limited to the Singapore Personal Data Protection Act 2012 (PDPA), the Computer Misuse Act, and any applicable data protection, anti-spam, and consumer protection laws.
You must not use the Platform to:
Violate any applicable local, national, or international law or regulation
Send unsolicited communications or spam to end-customers who have not consented to receive such communications
Collect or process personal data of individuals without appropriate legal basis or consent
Transmit any malicious code, viruses, or harmful data
Attempt to gain unauthorised access to the Platform, its systems, or other users' accounts
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
Scrape, crawl, or extract data from the Platform by automated means without prior written consent
Resell, sublicense, or commercialise access to the Platform without prior written consent
Use the Platform to process or automate any unlawful, harmful, fraudulent, abusive, or deceptive activity
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Interfere with or disrupt the integrity or performance of the Platform or its infrastructure
Loopbase reserves the right to suspend or terminate your Account immediately and without notice if we determine, in our sole discretion, that you have violated this section.
6. Customer Data and Data Responsibility
You retain full ownership of all Customer Data you input into or generate through the Platform. By using the Platform, you grant Loopbase a limited, non-exclusive, royalty-free licence to access, process, and use your Customer Data solely to provide and improve the Platform services.
You are solely responsible for:
Ensuring that you have obtained all necessary consents, permissions, and legal basis to collect, store, and process your end-customers' personal data through the Platform
Providing adequate privacy notices to your end-customers about how their data is used
Complying with all applicable data protection laws including the Singapore PDPA in relation to Customer Data
The accuracy, quality, and legality of Customer Data you upload or generate
Loopbase acts as a data processor in respect of Customer Data and will process such data only in accordance with your instructions and our Data Processing terms as set out in our Privacy Policy.
You agree to indemnify and hold harmless Loopbase from any claims, fines, penalties, or liabilities arising from your failure to obtain appropriate consent or comply with applicable data protection laws in relation to Customer Data.
7. Intellectual Property
All intellectual property rights in and to the Platform, including but not limited to the software, AI models, loyalty program logic, automation systems, interfaces, designs, copy, branding, and all related documentation, are and shall remain the exclusive property of Loopbase Pte. Ltd. or its licensors.
These Terms do not grant you any rights to the Platform's intellectual property other than the limited right to use the Platform in accordance with these Terms during your active Subscription.
You may not:
Reproduce, copy, or duplicate any part of the Platform
Modify, adapt, translate, or create derivative works based on the Platform
Reverse engineer or attempt to extract source code from the Platform
Use Loopbase's name, logo, or branding without prior written consent
You retain all intellectual property rights in Content you create through the Platform. By uploading or creating Content, you grant Loopbase a limited licence to use such Content solely to provide the Platform services.
8. Platform Availability and Modifications
Loopbase will use reasonable commercial efforts to make the Platform available 24 hours a day, 7 days a week, subject to planned and unplanned maintenance. We do not guarantee uninterrupted, error-free, or fully secure access to the Platform.
Loopbase reserves the right to:
Modify, update, or discontinue any feature or aspect of the Platform at any time
Conduct scheduled or emergency maintenance that may temporarily affect availability
Limit access to certain features based on your Subscription plan
We will endeavour to provide reasonable advance notice of material changes or planned maintenance where practicable. Loopbase will not be liable for any downtime, service interruptions, or loss of access resulting from maintenance or technical issues.
9. AI-Generated Outputs and Automation
The Platform uses artificial intelligence to analyse customer data, generate campaign recommendations, automate outreach, and execute loyalty program actions based on your configurations. While Loopbase strives for accuracy and reliability:
AI-generated outputs, recommendations, and automated actions are provided on an 'as-is' basis
Loopbase does not guarantee that AI-generated outputs will be error-free, accurate, or appropriate for your specific business circumstances
You remain solely responsible for reviewing, approving, and taking responsibility for all automated campaigns and actions executed through your Account
Loopbase will not be liable for any business decisions made in reliance on AI-generated outputs
You acknowledge that automated messaging sent to your end-customers through the Platform is your responsibility and must comply with all applicable laws including anti-spam regulations and the PDPA.
10. Third-Party Services and Integrations
The Platform may integrate with or rely on third-party services including WhatsApp (Meta Platforms), Stripe, and other payment processors or business tools (collectively "Third-Party Services"). Your use of Third-Party Services is governed by their respective terms and conditions and privacy policies.
Loopbase is not responsible for:
The availability, functionality, accuracy, or reliability of any Third-Party Services
Any changes to Third-Party Services that affect the Platform's integration capabilities
Any costs, losses, or damages arising from your use of Third-Party Services
You are responsible for ensuring your use of Third-Party Services through the Platform complies with those services' terms and conditions. In particular, your use of WhatsApp Business messaging must comply with Meta's Business Messaging Policy and all applicable messaging consent requirements.
11. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.
Loopbase will maintain the confidentiality of your Account information and Customer Data in accordance with our Privacy Policy. You agree to keep confidential any non-public information about Loopbase's technology, pricing, or business that you obtain through your use of the Platform.
12. Limitation of Liability
To the fullest extent permitted by applicable Singapore law, Loopbase's total aggregate liability to you arising out of or in connection with these Terms or the Platform shall not exceed the total fees paid by you to Loopbase in the three (3) months immediately preceding the event giving rise to the claim.
Loopbase shall not be liable for any:
Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, goodwill, or business opportunity
Business interruption, campaign failures, or automation errors
Loss or corruption of Customer Data
Damages arising from actions taken based on AI-generated outputs
Damages arising from third-party service failures or integrations
These limitations apply regardless of the legal theory on which the claim is based and even if Loopbase has been advised of the possibility of such damages.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under applicable Singapore law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Loopbase Pte. Ltd., its directors, officers, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
Your use of or access to the Platform
Your violation of these Terms
Your violation of any applicable law or regulation
Your Customer Data, including any claims by your end-customers relating to how their data is collected, processed, or used
Any automated communications sent to your end-customers through the Platform
Infringement of any intellectual property or other rights of any third party
14. Termination
Either party may terminate these Terms and your access to the Platform at any time, with or without cause, upon written notice.
Loopbase may immediately suspend or terminate your Account without notice if:
You breach any provision of these Terms
We are required to do so by law or regulatory authority
Your use of the Platform poses a security risk or may harm Loopbase or other users
You become insolvent or subject to any insolvency proceeding
Upon termination: your right to access the Platform ceases immediately; you remain liable for all outstanding fees; Loopbase will retain your data for a period of 30 days following termination, after which it may be permanently deleted. You may request export of your data within this 30-day period by contacting support@loopbaseapp.com.
15. Force Majeure
Loopbase shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from any cause beyond Loopbase's reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government action, internet or telecommunications outages, power failures, or third-party service disruptions.
16. Governing Law and Dispute Resolution
These Terms are governed by and shall be construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.
In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute amicably through good-faith negotiations for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by the courts of Singapore, and both parties irrevocably submit to the exclusive jurisdiction of the Singapore courts.
17. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and Loopbase with respect to the Platform and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver: No failure or delay by Loopbase in exercising any right shall operate as a waiver of that right.
Assignment: You may not assign or transfer any rights or obligations under these Terms without Loopbase's prior written consent. Loopbase may assign these Terms in connection with a merger, acquisition, or sale of assets.
Notices: All notices to Loopbase under these Terms should be sent to support@loopbaseapp.com.
18. Changes to These Terms
Loopbase may update these Terms from time to time. Where changes are material, we will provide at least 14 days' notice by email or through the Platform before the changes take effect. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the Platform before the changes take effect.
